These Terms of Service govern your use of the SaleCentra Rider mobile application (the "App") and your participation in the SaleCentra Rider program. By creating an account and using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Acceptance of Terms
By downloading, installing, registering for, or using the SaleCentra Rider App, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into this agreement on behalf of an entity, you represent that you have the authority to bind that entity.
2. Eligibility
To use the App and participate in the SaleCentra Rider program, you must:
- Be at least 18 years of age
- Have a valid government-issued identification document
- Own or have access to a vehicle (motorcycle, bicycle, or car) suitable for deliveries
- Hold a valid driver's license where required by local law
- Have an active bank account for receiving payouts
- Not be prohibited from using the App under applicable laws
3. Account Registration
To access the App's features, you must create an account by providing accurate and complete information, including your full name, phone number, email address, profile photo, and verification documents.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must not share your account with another person or allow someone else to use your account.
- You agree to promptly update your information if any details change.
- We reserve the right to refuse or revoke an account at our discretion.
4. Rider Status & Independent Contractor
You are an independent contractor, not an employee, agent, or partner of SaleCentra or NeuroWaves Data Systems. Nothing in these Terms creates an employment relationship.
- You are solely responsible for your own taxes, insurance, and benefits.
- You have the freedom to choose when and whether to go online and accept delivery requests.
- You are responsible for all costs associated with your vehicle, including fuel, maintenance, insurance, and repairs.
- SaleCentra does not guarantee a minimum number of orders or minimum earnings.
- You may use other delivery or ride-hailing apps simultaneously, provided it does not interfere with your active SaleCentra deliveries.
5. Use of the App
SaleCentra grants you a personal, non-exclusive, non-transferable, revocable license to use the App for the purpose of receiving and fulfilling delivery orders.
You agree to:
- Use the App only for its intended purpose
- Keep the App updated to the latest version
- Not modify, reverse engineer, or decompile the App
- Not use the App for any illegal or unauthorized purpose
- Not interfere with or disrupt the App's servers or networks
- Allow the App to access your location, camera, and device information as needed for delivery operations
6. Delivery Obligations
When you accept a delivery request, you agree to:
- Pick up the order from the designated SaleCentra merchant location in a timely manner
- Transport the order safely and with reasonable care to preserve the condition of the goods
- Deliver to the correct customer at the address provided in the App
- Confirm delivery through the App using proof-of-delivery features (photo, code, or signature as required)
- Maintain professionalism — be courteous to merchants and customers at all times
- Do not tamper with or open sealed orders intended for the customer
- Report issues — such as incorrect items, customer unavailability, or delivery problems — through the App's support features
If you cannot complete a delivery, you must report it through the App immediately. Abandoning orders or failing to complete accepted deliveries without valid reason may result in penalties or account suspension.
7. Earnings & Payments
7.1 Earnings
- You earn a payout for each successfully completed delivery, as displayed in the App before you accept the order.
- Earnings may vary based on distance, order type, demand, and applicable promotions.
- SaleCentra may deduct applicable service fees or commissions from your earnings as disclosed in the App.
7.2 Payouts
- Earnings are paid to your registered bank account according to the payout schedule displayed in the App.
- You are responsible for ensuring your bank account details are accurate and up to date.
- SaleCentra is not liable for delayed or failed payouts due to incorrect banking information.
- You are responsible for all taxes applicable to your earnings.
8. Ratings & Performance
- Customers may rate you after each delivery. Your overall rating is visible in the App.
- SaleCentra may use your rating, acceptance rate, completion rate, and other metrics to determine your eligibility for the program.
- Riders with consistently low ratings or poor performance metrics may be subject to warnings, reduced order allocation, or account suspension.
- You may dispute a rating you believe is unfair by contacting support.
9. Prohibited Conduct
The following actions are strictly prohibited and may result in immediate account termination:
- Falsifying identity, documents, or verification information
- Sharing, selling, or transferring your account to another person
- Accepting deliveries and delegating them to an unregistered third party
- Tampering with, stealing, or consuming customer orders
- Harassing, threatening, or discriminating against merchants, customers, or SaleCentra staff
- Using the App while under the influence of alcohol or drugs
- Manipulating the App's location, rating, or payment systems
- Engaging in fraudulent activity, including fake deliveries or collusive ratings
- Violating any applicable law while using the App
10. Account Suspension & Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, including:
- Violation of these Terms or our Privacy Policy
- Fraudulent or prohibited conduct as described above
- Persistently low performance or customer ratings
- Failure to complete accepted deliveries without valid reason
- Legal or regulatory requirements
You may terminate your account at any time by contacting support. Upon termination:
- Your access to the App will be revoked
- You will receive any pending earnings for completed deliveries, subject to our payout schedule
- Sections of these Terms that by their nature should survive termination (including liability, intellectual property, and governing law) will remain in effect
11. Limitation of Liability
To the maximum extent permitted by law:
- SaleCentra and NeuroWaves Data Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App or participation in the rider program.
- SaleCentra's total liability for any claim arising from these Terms shall not exceed the total earnings paid to you in the three (3) months preceding the claim.
- SaleCentra is not liable for any loss, damage, or injury you may suffer while performing deliveries, including traffic accidents, theft, or goods damage.
- SaleCentra does not guarantee the availability, accuracy, or reliability of the App at all times.
12. Intellectual Property
The App, its design, branding, logos, and all associated intellectual property are owned by SaleCentra / NeuroWaves Data Systems. You may not:
- Use the SaleCentra name, logo, or branding for any purpose outside the App without written permission
- Copy, modify, or distribute any part of the App's content or design
- Represent yourself as an employee or official agent of SaleCentra
13. Disclaimers
- The App is provided on an "as is" and "as available" basis without warranties of any kind.
- We do not guarantee that the App will be error-free, uninterrupted, or secure at all times.
- We do not guarantee a minimum number of orders, earnings, or consistent demand in your area.
- You are solely responsible for your own safety, vehicle, and conduct while using the App.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Nigeria, unless otherwise required by applicable consumer protection laws.
15. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you through the App or via email for material changes
Continued use of the App after changes take effect constitutes your acceptance of the updated Terms.
